Welcome to Gypaid Africa Limited.
These Terms of Service, alongside our Service Agreement and Privacy Policy, form a legally binding agreement governing your use of our services across Uganda, East Africa and other African markets where Gypaid Africa makes its products available. Access and use of our services imply acceptance of these terms.
Definitions
- Services include our website, dashboards, mobile applications, Application Programming Interfaces (APIs), payment infrastructure, mobile money collections, bulk payments, utility payments, bulk SMS, mobile banking workflows, developer tools and related financial technology or business automation services provided by Gypaid Africa Limited.
- User refers to any registered business entity, institution, developer, merchant, SACCO, MFI, school, NGO, enterprise, agent, beneficiary, supplier, individual account holder or authorized representative using our services.
- Content encompasses all forms of data and materials available through our services, including but not limited to text, graphics, images and software.
User eligibility and registration
- Age and authority: Users must be at least 18 years old. Where these Terms are accepted on behalf of a company, organization, government or legal entity, the accepting individual warrants that they have authority to bind that entity.
- Registration process: Registration for our services is conducted through our website. Users must provide accurate, complete and current registration information and maintain its accuracy.
Usage of service
Our services are designed to facilitate digital payments, mobile money workflows, collections, payouts, SMS notifications, utility payments, APIs and enterprise automation for African businesses, institutions, developers and individual account users. Users are granted a non-exclusive, non-transferable license to use our services in accordance with these Terms, our Service Agreement and any market-specific requirements that apply to the country or payment channel being used. Any use outside these terms is strictly prohibited.
Compliance with regulatory authorities
As a fintech and enterprise automation provider, we adhere to applicable financial, payments, mobile money, banking, communications, data protection and business laws in Uganda and in other African markets where our services are offered or used. This includes anti-money laundering (AML), counter-terrorism financing (CTF), sanctions, consumer protection, tax, reporting and other relevant regulatory requirements. Regular compliance reviews may be conducted to support ongoing adherence.
Anti-money laundering and counter-terrorism financing
We implement strict AML and CTF policies. This includes identity verification, transaction monitoring and mandatory reporting of suspicious activities. Users are required to cooperate and comply with these measures, and failure to do so may result in service suspension or termination.
Annual license fee and payment terms
- License fee: Users are required to pay an annual license fee, detailed in the Service Agreement. This fee grants access to our comprehensive suite of financial services.
- Payment obligations: Timely payment of applicable fees is essential. Payment terms, including due dates, acceptable methods of payment, transaction charges, SMS charges, transfer charges, collection fees, settlement arrangements and market-specific fees, are outlined in the Service Agreement, pricing page or written commercial agreement.
Intellectual property rights
We hold all rights to our services, including software, interfaces and content. These are protected under intellectual property laws. Users are granted a license to use our services, which does not transfer any intellectual property rights.
Third-party rights and links
Our services may include links to third-party websites and resources. We are not responsible for the content or privacy practices of these external sites and advise users to review their terms and conditions.
Security and credential management
- User responsibility: Users are responsible for maintaining the confidentiality and security of their account credentials.
- Company responsibility: We undertake rigorous measures to ensure platform security, including regular audits, encrypted data storage and secure credential management.
Prohibited use and reporting obligations
- Prohibited use: Users must not engage in illicit activities, including fraud, money laundering, terrorism financing, sanctions evasion, unauthorized account access, identity misuse, fake transactions, abusive SMS traffic, unlawful betting or gambling activity, illegal lending activity, prohibited goods or services, or any activity restricted by applicable African market, payment partner or regulatory requirements.
- Reporting requirement: Any suspected illegal activities must be reported to appropriate authorities and to Gypaid Africa Limited where legally permitted, along with relevant documentation of such reports.
Disclaimer
Our services are provided on an "as is" and "as available" basis without warranties. We disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
Indemnification
Users agree to indemnify and hold harmless Gypaid Africa Limited against claims, liabilities and costs arising from their use of our services or violation of these Terms.
Limitation of liability
To the fullest extent permitted by law, Gypaid Africa Limited is not liable for indirect, incidental, special or consequential damages resulting from the use or inability to use our services.
Assignment
Users may not assign their rights or obligations under these Terms without our prior written consent. Gypaid Africa Limited may assign these Terms without restriction.
Confidentiality
Both parties agree to treat all confidential information obtained through the use of our services with the same degree of care as they would their own confidential information.
Governing law and jurisdiction
Gypaid Africa Limited is incorporated and operates from Uganda. Unless a separate written agreement states otherwise, these Terms are governed by the laws of the Republic of Uganda and disputes will be subject to the jurisdiction of Ugandan courts.
Where services are provided, accessed or used in another African market, users are also responsible for complying with applicable local laws, regulations, licensing requirements, mobile money rules, banking rules, communications rules, tax obligations and payment partner requirements in that market.
Modifications to terms
We reserve the right to modify these Terms at any time. Users will be notified of material changes where appropriate.
